Liquidation of Companies in Azerbaijan: Comprehensive Procedures Outlined

Baku: Businesses in Azerbaijan may find themselves compelled to terminate operations and liquidate due to various reasons such as project completion, market exit needs, termination of business treaties, removal of incentives, or insolvency leading to bankruptcy. Liquidation of legal entities in Azerbaijan can be executed voluntarily or mandatorily, with voluntary liquidation initiated by shareholders and mandatory liquidation enforced by court decisions.

According to Azerbaijan State News Agency, the liquidation process involves several defined steps. Initially, shareholders or an authorized body must request the executive body of the company for an official statement on financial competence to address all creditor claims within 12 months. This statement should be made at least 20 days before the general assembly's resolution on liquidation. If the executive body refuses, independent auditors may be invited to assess the company's financial competence.

The general assembly of shareholders must adopt a resolution on liquidation, appoint a liquidation commission, and determine the liquidation procedure as per the Civil Code. An initial notice of liquidation must be published in official media and repeated twice more at intervals of 15-20 days, with the total period for creditor claims not less than 60 days from the first publication.

The liquidator is tasked with notifying all known creditors and executive authorities and submitting specific documents to the tax authority. The company's seal and name should be updated to reflect the liquidation status. An interim liquidation balance sheet is compiled and approved, detailing the company's assets, creditor claims, and debts. If assets are insufficient to cover claims, insolvency proceedings must begin immediately.

Creditors' claims are prioritized and paid once the interim balance sheet is approved. Subsequently, the liquidator compiles a final balance sheet and report on asset distribution, which must be approved by shareholders within 45 days. Residual assets are then distributed among shareholders, and final documentation is submitted to the tax authority to remove the company name from the state registry.

The liquidation process is complex and must be completed within 12 months from the entry of the liquidation notice into the state registry. All final tax declarations and other state reports must be submitted within 30 days. Legal entities cannot be liquidated until all court decisions on legal violations are resolved.
